Acceptance of Terms

By accessing and using our website and services, you accept and agree to be bound by these Terms of Service. If you do not agree, please discontinue use.

1. Services

AIHPC provides infrastructure matchmaking and related services, including:

• Identification and introduction of infrastructure opportunities (land, power, data centers, modular deployments).

• Matching end users with compute (GPU/ASIC) and modular solutions.

• Facilitating commercial discussions between operators, OEMs, and end users.

• Select introductions to capital providers and special opportunities, when applicable.

AIHPC does not directly own, operate, or guarantee third-party assets, capacity, or funding.

2. Client Responsibilities

2.1. Information

• Provide accurate and complete requirements for infrastructure or compute needs.

• Supply necessary documentation, technical specs, or project details in a timely manner.

• Confirm you have the rights and authority to share all materials with AIHPC.

2.2. Commercial Terms

• Respect agreed payment or success-fee structures (when applicable).

• Notify AIHPC of any disputes within 30 days.

• Understand that introductions or opportunities may be paused for overdue obligations.

3. Our Responsibilities

3.1. Services

• Facilitate introductions and opportunities with professionalism and discretion.

• Maintain confidentiality of sensitive information (per NDA, if applicable).

• Operate on a commercially reasonable, best-efforts basis.

3.2. Limitations

• AIHPC is not a guarantor of third-party performance, availability, or funding.

• Any resulting agreements are directly between clients and counterparties.

4. Intellectual Property

• You retain ownership of content and materials you provide to AIHPC.

• AIHPC retains ownership of its brand, materials, and methodologies.

• Any third-party materials (e.g., OEM brochures, site specs) remain under their respective rights.

5. Timelines

Timelines for projects, deployments, or introductions are estimates only. They may be affected by:

• Counterparty availability and response times.

• Regulatory or utility approval processes.

• Changes in scope or market conditions.

6. Payment and Fees

• Terms for retainers, success fees, or other compensation are governed by specific agreements or service orders.

• Final deliverables (e.g., reports, introductions) may be contingent on receipt of agreed compensation.

• Refunds are limited to services not rendered or material breach by AIHPC.

7. Limitation of Liability

AIHPC’s liability is strictly limited to the amount you have paid to AIHPC for services in question. AIHPC is not liable for:

• Indirect, incidental, or consequential damages.

• Counterparty failure, default, or project non-performance.

• Regulatory, technical, or market risks outside AIHPC’s control.

8. Termination

Either party may terminate with written notice. Upon termination:

• Fees are due for services performed up to the date of termination.

• Confidentiality obligations survive termination.

9. Confidentiality

Both parties agree to maintain confidentiality of non-public information. Formal NDAs may further govern these obligations.

Changes to Terms

AIHPC may revise these Terms of Service at any time. Continued use of services constitutes acceptance of updated terms.

Severability

If any provision of these terms is deemed unenforceable, the remaining provisions remain valid and in effect.
